42. Related parties The ITF is a member organisation and undertakes routine transactions every year with its members such as subscription income and prize money payments for team competitions. Where the group enters into a transaction with a member organisation which is not routine it shall be disclosed separately in the financial statements. As part of the internal reorganisation, BJKCL IP Holdings Ltd entered into an on -demand, non-interest-bearing intercompany loan arrangement with ITF Licensing (UK) Ltd. The loan is secured by a debenture granted by BJKCL IP Holdings Ltd in favour of ITF Licensing (UK) Ltd. The debenture comprises: • a fixed charge over the intellectual property rights assigned to BJKCL IP Holdings Ltd; and • a floating charge over all present and future assets of BJKCL IP Holdings Ltd. Additionally, as part of the re-organisation, BJKCL Equity Ltd entered into an on-demand, non-interest bearing intercompany loan arrangement with ITF Licensing (UK) Ltd. The loan and related security arrangements are internal to the group and are eliminated on consolidation. The group provides financing to Billie Jean King Cup Limited, a joint venture in which the group holds an equity interest. During the year, the group advanced a loan of $1,280,000 to the joint venture under a formal loan agreement dated 22 December 2025. The loan bears interest at 2.5% per annum and is repayable in annual instalments. The outstanding balance at 31 December 2025 was $1,280,000. No non-routine member organisation transactions arose during the year. 43.
